The agreement

Before you start

This agreement is between you and LK MUSIC, which makes hetki under the name idealism. In it, "we" and "us" mean LK MUSIC, and "you" means the person a hetki licence is made out to. It applies to a bought licence and to a trial licence alike.

Please read it before you install hetki. By installing or using hetki you accept it. If you do not accept it, please do not install or use hetki.

1What hetki is

In this agreement, hetki means the hetki instrument in every version of hetki 1 (1.0, 1.1 and so on): the VST®3 plug-in, the Audio Units plug-in (on macOS) and the standalone app, with their installers; the sound library hetki downloads, with every recording and file in it; the ten moments (its presets) it comes with; and its guides and manual.

2Who you are dealing with

We make hetki and grant you its licence. When you buy a licence for hetki, the sale and the payment go through Onelink, Stripe's payment service (called Link in some countries); in this agreement, "Onelink" means it under either name. Onelink's own terms govern the payment, your receipt and invoice, cancelling and refunds. This agreement governs what you may do with hetki itself.

3Licensed, not sold

hetki is licensed to you, not sold. Its software, its recordings and everything else in it belong to us or to those who license them to us, and they are protected by copyright and related rights. This agreement lets you use hetki in the ways it describes. Every right it does not give you stays with us and our licensors, and so do the names hetki and idealism.

4Your licence

We give you a personal, non-exclusive licence to install and use hetki, on these terms.

  1. It is for one person: you. You may install hetki on every computer you personally use, and play it on any of them, as long as you are the one playing. Anyone else who plays hetki or opens it, for example in a project you send them, needs a licence of their own. Someone who only listens to, mixes or masters audio recorded from hetki needs no licence.
  2. It never expires. It ends only in the cases set out in sections 9 and 10.
  3. You may copy the installers and the library between your own computers, and keep copies of them as backups for yourself.
  4. Your licence carries your name. Keep it private, the way you would a key.

5What your music may do

The music you make with hetki is yours. You may use the sound of hetki in your own music and audio of every kind: commercial and non-commercial releases, streaming, broadcast, film and television, advertising, games, live performance, and work you do for clients. You owe no royalties or fees, and no credit is required, though a mention is always welcome.

You may also record what hetki plays and edit, chop or resample that recording inside your own music. You may not pass such recordings on to others as sounds for their own use (see section 6 b).

Music you made while you held a licence stays yours to use after the licence ends.

6What you may not do

You may not:

  1. share, sell, rent, lend or give away your licence, the installers or the library, or put them anywhere others can get them;
  2. pass on hetki's sounds as sounds in their own right: as samples, loops, one-shots, sample packs, sound-effect libraries, presets or patches for other instruments, or inside another instrument. This holds whether the sounds are processed, layered, combined with others or left as they are. Your music may carry hetki's sound, but hetki's sound may not be the thing you sell or give away;
  3. load, convert or extract the library's files for use in any other sampler, instrument or program. The library is made to be played by hetki only;
  4. use hetki, its sounds or its library to train, fine-tune or build machine learning or generative AI systems. This does not stop you from using everyday tools on your own music, such as mixing or mastering software, even when they use machine learning;
  5. remove or change the copyright, licence or trademark notices in hetki;
  6. reverse engineer, decompile, disassemble or modify hetki's software, or get around its licence check, except where the law allows it and a contract cannot exclude it.

7A trial licence

A trial licence lets you try the whole of hetki, free, for seven days. Everything in this agreement applies to it, with these differences.

  1. The seven days start when the trial licence first goes into hetki, and they run whether you play or not. Put it in within a week of getting it: a trial ends no later than 14 days after the date on the licence's "Issued:" line, even if some of its seven days are left.
  2. There is one trial per person and per inbox.
  3. When the trial ends, your right to play hetki ends with it, and hetki goes quiet. Nothing on your computer is deleted, and a bought licence brings the sound back.
  4. The music you make during the trial is yours to keep, as section 5 says.

8Updates

Every update to hetki 1 is free for everyone holding a licence. Install it over the version you have: your licence, your library and the moments you saved stay as they are.

9Cancelling, refunds and chargebacks

Cancelling and refunds follow Onelink's terms. This does not limit the rights the law gives you (see sections 11 and 12). If you are a consumer (someone acting for purposes outside their trade, business, craft, profession or farming) in the European Union or the United Kingdom, those terms give you 14 days to cancel, counted from when you get access to hetki. To cancel, ask Onelink's support for a refund and give "cooling off period" as the reason. You can also write to us at contact@idealism.co with your order number.

If your purchase is cancelled or refunded in full, or your bank or card provider takes the payment back (a chargeback) and it is not later restored, your licence ends. You must then stop using hetki, and you can no longer download the library or get update emails.

10Ending the licence

You may stop using hetki whenever you like. There is nothing to cancel.

We may end your licence only if you seriously break this agreement, for example by sharing your licence or the library, or by passing on hetki's sounds in their own right (section 6 b). Before we do, we will write to you at the address on your licence, say what is wrong and, where it can be put right, give you a reasonable time to do so. If we end your licence, the same applies: you must stop using hetki, and you can no longer download the library or get update emails.

11Guarantee

If you are a consumer, you keep the legal guarantee of conformity, which means hetki must be as described and work as it should. In France it lasts two years from when hetki is supplied to you (Code de la consommation, articles L224-25-12 and following). You also keep every other right that the law gives you and that a contract cannot take away. The French text of this agreement sets out the French guarantee in the words the law requires. We give no commercial guarantee beyond these legal ones.

hetki's system requirements are on hetki.idealism.co/download and in the README that comes with it. If something does not work as it should, write to contact@idealism.co.

12Liability

If you are a consumer, nothing in this agreement limits your rights, or our liability to you, where the law does not allow them to be limited.

If you are not a consumer, because you got your licence for the purposes of your trade, business, craft or profession, our total liability to you under this agreement is limited to the price you paid for hetki, except in case of fraud or gross negligence.

13Your privacy

hetki plays without an account and never checks in with a server to play. It connects to the internet only when you press download, to fetch the library or an update to it, and then only to hetki.idealism.co. It sends your licence, which holds your name, email address, order number and issue date, so the site can check it before the download starts. The "buy hetki" and "try 7 days" buttons open the website in your browser.

When there is a new version of hetki, we may write to the address on your licence to say so. Reply and we will stop.

14Law and disputes

This agreement is governed by French law. If you are a consumer, you also keep the protection that the laws of the country where you live give you and that a contract cannot take away, and you may take a dispute to the courts the law gives you. If something goes wrong, please write to contact@idealism.co first; most things can be put right that way.

If a court finds part of this agreement invalid, the rest of it stands.

15Changes to this agreement

We may publish a new version of this agreement. A new version applies to licences issued after it is published. The version you accepted stays yours, unless you choose to move to a newer one.

16Languages

This agreement is written in English and in French, and both versions are equally valid. Where they seem to differ, the meaning more favourable to a consumer applies.

Ce contrat est conclu entre vous et LK MUSIC, qui crée hetki sous le nom idealism. Dans ce contrat, « nous » désigne LK MUSIC et « vous » désigne la personne au nom de laquelle une licence hetki est établie. Il s'applique de la même façon à une licence achetée et à une licence d'essai.

Merci de le lire avant d'installer hetki. En installant ou en utilisant hetki, vous l'acceptez. Si vous ne l'acceptez pas, merci de ne pas installer hetki ni l'utiliser.

1Ce qu'est hetki

Dans ce contrat, hetki désigne l'instrument hetki dans toutes les versions de hetki 1 (1.0, 1.1, etc.) : le plug-in VST®3, le plug-in Audio Units (sur macOS) et l'application autonome, avec leurs programmes d'installation ; la bibliothèque de sons que hetki télécharge, avec chacun des enregistrements et des fichiers qu'elle contient ; les dix moments (ses presets) fournis avec lui ; ses guides et son manuel.

2Avec qui vous traitez

Nous créons hetki et vous en concédons la licence. Lorsque vous achetez une licence hetki, la vente et le paiement passent par Onelink, le service de paiement de Stripe (appelé Link dans certains pays) ; dans ce contrat, « Onelink » le désigne sous l'un ou l'autre nom. Les conditions propres à Onelink régissent le paiement, votre reçu et votre facture, la rétractation et les remboursements. Ce contrat régit ce que vous pouvez faire de hetki lui-même.

3Une licence, non une vente

hetki vous est concédé sous licence ; il ne vous est pas vendu. Son logiciel, ses enregistrements et tout ce qu'il contient nous appartiennent ou appartiennent à ceux qui nous en concèdent les droits, et sont protégés par le droit d'auteur et les droits voisins. Ce contrat vous permet d'utiliser hetki de la manière qu'il décrit. Tous les droits qu'il ne vous accorde pas restent réservés, à nous et à nos concédants, de même que les noms hetki et idealism.

4Votre licence

Nous vous concédons une licence personnelle et non exclusive pour installer et utiliser hetki, aux conditions suivantes.

  1. Elle est destinée à une seule personne : vous. Vous pouvez installer hetki sur chacun des ordinateurs que vous utilisez personnellement et en jouer sur n'importe lequel d'entre eux, tant que c'est vous qui jouez. Toute autre personne qui joue de hetki ou qui l'ouvre, par exemple dans un projet que vous lui envoyez, a besoin de sa propre licence. Une personne qui ne fait qu'écouter, mixer ou masteriser de l'audio enregistré à partir de hetki n'a pas besoin de licence.
  2. Elle n'expire jamais. Elle ne prend fin que dans les cas prévus aux articles 9 et 10.
  3. Vous pouvez copier les programmes d'installation et la bibliothèque d'un de vos ordinateurs à l'autre, et en garder des copies de sauvegarde pour vous-même.
  4. Votre licence porte votre nom. Gardez-la pour vous, comme une clé.

5Ce que votre musique peut faire

La musique que vous créez avec hetki vous appartient. Vous pouvez utiliser le son de hetki dans votre propre musique et dans vos créations sonores de toute nature : sorties commerciales ou non, streaming, radiodiffusion, cinéma et télévision, publicité, jeux, spectacle vivant et travaux réalisés pour des clients. Vous ne devez ni redevance ni frais, et aucune mention n'est exigée, même si une mention fait toujours plaisir.

Vous pouvez aussi enregistrer ce que joue hetki, puis monter, découper ou rééchantillonner cet enregistrement au sein de votre propre musique. Vous ne pouvez pas transmettre de tels enregistrements à d'autres personnes en tant que sons destinés à leur propre usage (voir l'article 6 b).

La musique que vous avez créée pendant que vous déteniez une licence reste la vôtre, et vous pouvez continuer à l'utiliser après la fin de cette licence.

6Ce que vous ne pouvez pas faire

Vous ne pouvez pas :

  1. partager, vendre, louer, prêter ou donner votre licence, les programmes d'installation ou la bibliothèque, ni les placer là où d'autres peuvent se les procurer ;
  2. transmettre ou diffuser les sons de hetki en tant que sons à part entière : sous forme d'échantillons, de boucles, de one-shots, de banques d'échantillons, de bibliothèques d'effets sonores, de presets ou de patchs pour d'autres instruments, ou au sein d'un autre instrument. Cela vaut que les sons soient traités, superposés, combinés à d'autres ou laissés tels quels. Votre musique peut contenir le son de hetki, mais le son de hetki ne peut pas être ce que vous vendez ou donnez ;
  3. charger, convertir ou extraire les fichiers de la bibliothèque pour les utiliser dans un autre échantillonneur, instrument ou programme. La bibliothèque est faite pour être jouée par hetki seulement ;
  4. utiliser hetki, ses sons ou sa bibliothèque pour entraîner, affiner ou construire des systèmes d'apprentissage automatique ou d'intelligence artificielle générative. Cela ne vous empêche pas d'utiliser des outils courants sur votre propre musique, comme des logiciels de mixage ou de mastering, même lorsqu'ils font appel à l'apprentissage automatique ;
  5. supprimer ou modifier les mentions de droit d'auteur, de licence ou de marque figurant dans hetki ;
  6. procéder à l'ingénierie inverse du logiciel de hetki, le décompiler, le désassembler ou le modifier, ou contourner la vérification de sa licence, sauf lorsque la loi le permet et qu'un contrat ne peut l'exclure.

7Licence d'essai

Une licence d'essai vous permet d'essayer hetki en entier, gratuitement, pendant sept jours. Tout ce contrat s'y applique, avec les différences suivantes.

  1. Les sept jours commencent lorsque la licence d'essai est entrée pour la première fois dans hetki, et ils courent que vous jouiez ou non. Entrez-la dans la semaine qui suit sa réception : un essai prend fin au plus tard 14 jours après la date de la ligne « Issued: » de la licence, même s'il reste des jours sur les sept.
  2. Il y a un seul essai par personne et par boîte de réception.
  3. À la fin de l'essai, votre droit de jouer de hetki prend fin lui aussi, et hetki se tait. Rien n'est supprimé de votre ordinateur, et une licence achetée rend le son.
  4. La musique que vous créez pendant l'essai vous reste acquise, comme le prévoit l'article 5.

8Mises à jour

Toutes les mises à jour de hetki 1 sont gratuites pour tous les titulaires d'une licence. Installez-les par-dessus la version que vous avez : votre licence, votre bibliothèque et les moments que vous avez enregistrés restent tels quels.

9Rétractation, remboursements et rétrofacturations

La rétractation et les remboursements suivent les conditions propres à Onelink. Cela ne limite pas les droits que la loi vous accorde (voir les articles 11 et 12). Si vous êtes un consommateur (une personne qui agit à des fins qui n'entrent pas dans le cadre de son activité commerciale, industrielle, artisanale, libérale ou agricole) dans l'Union européenne ou au Royaume-Uni, ces conditions vous donnent 14 jours pour vous rétracter, à compter du moment où vous avez accès à hetki. Pour vous rétracter, demandez un remboursement au support Onelink en indiquant « période de rétractation » comme motif. Vous pouvez aussi nous écrire à contact@idealism.co en indiquant votre numéro de commande.

Si votre achat est annulé ou remboursé en totalité, ou si votre banque ou l'émetteur de votre carte reprend le paiement (rétrofacturation) sans qu'il soit rétabli par la suite, votre licence prend fin. Vous devez alors cesser d'utiliser hetki, et vous ne pouvez plus télécharger la bibliothèque ni recevoir les courriels de mise à jour.

10Fin de la licence

Vous pouvez cesser d'utiliser hetki quand vous le souhaitez. Il n'y a rien à résilier.

Nous ne pouvons mettre fin à votre licence qu'en cas de manquement grave de votre part à ce contrat, par exemple si vous partagez votre licence ou la bibliothèque, ou si vous transmettez ou diffusez les sons de hetki en tant que sons à part entière (article 6 b). Auparavant, nous vous écrirons à l'adresse figurant sur votre licence pour vous dire ce qui ne va pas et, lorsqu'il peut y être remédié, vous laisser un délai raisonnable pour le faire. Si nous mettons fin à votre licence, il en va de même : vous devez cesser d'utiliser hetki, et vous ne pouvez plus télécharger la bibliothèque ni recevoir les courriels de mise à jour.

11Garanties

Si vous êtes un consommateur, vous conservez la garantie légale de conformité. En France, elle dure deux ans à compter de la fourniture de hetki (code de la consommation, articles L. 224-25-12 et suivants), comme l'explique l'encadré ci-dessous. Vous conservez aussi tous les autres droits que la loi vous accorde et qu'un contrat ne peut vous retirer. Nous n'offrons aucune garantie commerciale en plus de ces garanties légales.

Garantie légale de conformité : l'encadré prévu par l'article D. 211-3 du code de la consommation

Le consommateur dispose d'un délai de deux ans à compter de la fourniture du contenu numérique ou du service numérique pour obtenir la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité. Durant un délai d'un an à compter de la date de fourniture, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique.

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

Le consommateur peut obtenir une réduction du prix en conservant le contenu numérique ou le service numérique ou il peut mettre fin au contrat en se faisant rembourser intégralement contre renoncement au contenu numérique ou au service numérique, si :

1° Le professionnel refuse de mettre le contenu numérique ou le service numérique en conformité ;

2° La mise en conformité du contenu numérique ou du service numérique est retardée de manière injustifiée ;

3° La mise en conformité du contenu numérique ou du service numérique ne peut intervenir sans frais imposés au consommateur ;

4° La mise en conformité du contenu numérique ou du service numérique occasionne un inconvénient majeur pour le consommateur ;

5° La non-conformité du contenu numérique ou du service numérique persiste en dépit de la tentative de mise en conformité du professionnel restée infructueuse.

Le consommateur a également droit à une réduction du prix ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n'est alors pas tenu de demander la mise en conformité du contenu numérique ou du service numérique au préalable.

Dans les cas où le défaut de conformité est mineur, le consommateur n'a droit à l'annulation du contrat que si le contrat ne prévoit pas le paiement d'un prix.

Toute période d'indisponibilité du contenu numérique ou du service numérique en vue de sa remise en conformité suspend la garantie qui restait à courir jusqu'à la fourniture du contenu numérique ou du service numérique de nouveau conforme.

Les droits mentionnés ci-dessus résultent de l'application des articles L. 224-25-1 à L. 224-25-31 du code de la consommation.

Le professionnel qui fait obstacle de mauvaise foi à la mise en œuvre de la garantie légale de conformité encourt une amende civile d'un montant maximal de 300 000 euros, qui peut être porté jusqu'à 10 % du chiffre d'affaires moyen annuel (article L. 242-18-1 du code de la consommation).

Le consommateur bénéficie, en outre, de la garantie légale des vices cachés en application des articles 1641 à 1649 du code civil, pendant une durée de deux ans à compter de la découverte du défaut. Cette garantie donne droit à une réduction de prix si le contenu numérique ou le service numérique est conservé ou à un remboursement intégral contre renonciation au contenu numérique ou au service numérique.

La configuration requise pour hetki figure sur hetki.idealism.co/download et dans le fichier README fourni avec lui. Si quelque chose ne fonctionne pas comme il le devrait, écrivez à contact@idealism.co.

12Responsabilité

Si vous êtes un consommateur, rien dans ce contrat ne limite vos droits, ni notre responsabilité envers vous, lorsque la loi ne permet pas de les limiter.

Si vous n'êtes pas un consommateur, parce que vous avez obtenu votre licence pour les besoins de votre activité professionnelle, notre responsabilité totale envers vous au titre de ce contrat est limitée au prix que vous avez payé pour hetki, sauf en cas de dol ou de faute lourde.

13Vos données

hetki fonctionne sans compte et ne contacte jamais de serveur pour jouer. Il ne se connecte à internet que lorsque vous appuyez sur le bouton download, pour télécharger la bibliothèque ou une mise à jour de celle-ci, et uniquement vers hetki.idealism.co. Il envoie alors votre licence, qui contient votre nom, votre adresse e-mail, votre numéro de commande et sa date d'émission, afin que le site puisse la vérifier avant le début du téléchargement. Les boutons « buy hetki » et « try 7 days » ouvrent le site dans votre navigateur.

Lorsqu'une nouvelle version de hetki sort, nous pouvons l'annoncer par un courriel à l'adresse figurant sur votre licence. Répondez-y et nous arrêterons.

Les mentions légales, sur hetki.idealism.co/legal, expliquent ce que nous conservons pour la liste d'attente, les essais et les commandes, ainsi que vos droits.

14Droit applicable et litiges

Ce contrat est régi par le droit français. Si vous êtes un consommateur, vous conservez aussi la protection que vous accordent les lois du pays où vous résidez et qu'un contrat ne peut vous retirer, et vous pouvez porter un litige devant les juridictions que la loi vous ouvre. En cas de problème, écrivez-nous d'abord à contact@idealism.co : la plupart des choses peuvent s'arranger ainsi.

Si une juridiction déclare une partie de ce contrat non valable, le reste du contrat demeure en vigueur.

15Modifications du contrat

Nous pouvons publier une nouvelle version de ce contrat. Une nouvelle version s'applique aux licences émises après sa publication. La version que vous avez acceptée reste la vôtre, sauf si vous choisissez d'adopter une version plus récente.

16Langues

Ce contrat est rédigé en anglais et en français, et les deux versions font également foi. Lorsqu'elles semblent différer, le sens le plus favorable au consommateur l'emporte.

PREAMBLE
The goals of the Open Font License (OFL) are to stimulate worldwide

as distributed by the Copyright Holder(s).

"Modified Version" refers to any derivative made by adding to, deleting,
or substituting -- in part or in whole -- any of the components of the
Original Version, by changing formats or by porting the Font Software to
a new environment.

"Author" refers to any designer, engineer, programmer, technical
writer or other person who contributed to the Font Software.

PERMISSION & CONDITIONS
Permission is hereby granted, free of charge, to any person obtaining
a copy of the Font Software, to use, study, copy, merge, embed, modify,
redistribute, and sell modified and unmodified copies of the Font
Software, subject to the following conditions:

1) Neither the Font Software nor any of its individual components,
in Original or Modified Versions, may be sold by itself.

2) Original or Modified Versions of the Font Software may be bundled,

TERMINATION
This license becomes null and void if any of the above conditions are
